Simons Muirhead Burton have advised Argynnis Group AB in its acquisition of the British company RSG Engineering Ltd. RSG Engineering is one of the UK’s leading suppliers of vehicle hazard warning systems including lighting, control systems, telematics and CCTV for the emergency and special vehicle industry.
Argynnis Group, the Swedish family-owned industry group, is formed of niche companies with unique products and technologies, which they supply to professional customers across four business divisions. RSG Engineering Ltd will become part of the Standby Group, the division of Argynnis which specialises in the supply of warning equipment and control systems for vehicles.
Argynnis Group’s CEO, Leif Gustavsson had this to say:
“From my first meeting with Neal I was confident that we had found the right partner and legal counsel for this transaction! While we have done many acquisitions in the Argynnis Group, this was our first foray within the UK and therefore we needed a strong and reliable partner, experienced in all aspects of a company acquisition, reaching from the commercial side, through to product and IP, property, litigation and employment.
Neal and the team at SMB were always on hand to advise, negotiate on our behalf, and also guide us through and explain the sometimes fine and challenging nuances with the UK legal framework. This was a high-value transaction and due to the current COVID environment all discussions, contract reviews and collaborations had to be done remotely, therefore it was reassuring to us that we could build up such a strong level of trust with Neal and the team.
Additionally to being highly knowledgeable and tactically skilled, Neal was also fun to work with and when we embark on our next projects within the UK, we look forward to working with Neal and the team at SMB again.”
The SMB team was led by Corporate & Commercial Partner Neal Hodges. He was assisted by Associates Sascha Silberstein and John Harrington, Real Estate Senior Associate Nigel Zaoskoufis and others, with Partner Ewan Keen and Associate Krista Barnes supporting on the employment aspects.
Further details of the deal can be found here.
We would like to wish Argynnis Group, Standby Group and Standby RSG UK every success in the future.
